In this Invitation to submit binding offers to purchase the Cessna Citation 560XL aircraft (hereinafter referred to as: “the invitation”) , the Cessna Citation 560XL aircraft with registration mark S5-ICR constitutes the subject of the contract (hereinafter referred to as: “the subject of the contract”) that is owned by Družba za upravljanje terjatev bank, d.d., company registration number: 6339620000 (hereinafter also referred to as: “the seller”).

In this Invitation to submit binding offers to purchase the Cessna Citation 560XL aircraft (hereinafter referred to as: “the invitation”) , the Cessna Citation 560XL aircraft with registration mark S5-ICR constitutes the subject of the contract (hereinafter referred to as: “the subject of the contract”) that is owned by Družba za upravljanje terjatev bank, d.d., company registration number: 6339620000 (hereinafter also referred to as: “the seller”).

The indicative net sales price of the subject of the contract is stipulated in the amount of EUR 800,000.00 EUR + associated tax.

The deadline for the submission of binding bids (the bidding deadline) shall be 12 May 2021 (by 23:59:59 hours).

Bidders shall send their binding bids by registered mail in a closed envelope addressed to: Družba za upravljanje terjatev bank, d.d., Davčna ulica 1, 1000 Ljubljana. The following text shall be added under the addressee: “NE ODPIRAJ – PONUDBA ZA NAKUP LETALA CESSNA”.

Within the bidding deadline i.e. by the time the bid is submitted (the slip providing evidence that the bid bond has been paid with the date of payment being indicated is an obligatory annex to the bid), the bidder shall be obliged to pay to the seller’s bank account no. SI56 2900 0005 1319 162, opened at UNICREDIT BANKA SLOVENIJA d.d., indicating the reference no. “__-company registration no. or date of birth”, and the purpose of payment ”BID BOND FOR THE PURCHASE OF CESSNA AIRCRAFT”, the bid bond in the amount of EUR 50.000,00 EUR (in this invitation also referred to as: “the bid bond”) which is a prerequisite for the validity of the bid and the participation of the bidder within this bidding and sales procedure.

If the bidder fails to pay the bid bond within the bidding deadline, i.e. by the time they submit their bid, and at the same time no deposit can be seen on the seller’s bank account no later than two (2) business days after the end of the bidding deadline, that bidder’s bid will be eliminated from further consideration and from the sales procedure.

Potential bidders may obtain any additional information in relation to the subject of the contract following a preliminary arrangement with the seller’s representative Blaž Ribič either by calling at 030 602 724 or by sending an email to: blaz.ribic@dutb.eu, on weekdays between 9 a.m. to 3 p.m. up to and including 9 May 2021.

The subject of the contract is available for inspection following a preliminary arrangement with the seller’s representative Blaž Ribič (blaz.ribic@dutb.eu 030 602 724) up to and including 10 May 2021, while taking into account the guidelines of the Ministry of Health, National Institute of Public Health and other official institutions of the Republic of Slovenia.

The seller reserves the right to extend the time limit for obtaining additional information as well as the bidding deadline, especially if state measures will again impede the free movement of people among municipalities or statistical regions before the end of the bidding deadline.

In order to inspect any documentation of a confidential nature, a non-disclosure agreement must be signed in advance ( NDA).

The net reserve price for the subject of the Agreement shall be EUR 6,610,000.00, excluding the associated tax (2% real estate tax or 22% VAT with a ‘Declaration regarding the selection of real estate transaction taxation’), which shall be paid by the buyer.

The security deposit shall be deposited on the Seller’s current account no. SI56 2900 0005 1319 162 managed by UNICREDIT BANKA SLOVENIJA d.d., with a reference of ‘00-registration number or birth date’ and a stated purpose of payment of ‘Security deposit, e-auction for the Izola shipyard – BAMC ID 51’, in the amount of ERU 50,000.00 (referred to in this Invitation as the ‘security deposit’), which shall constitute an essential condition for the validity of the bid and the bidder’s participation in the selection of the most favourable bidder.

Payment of the security deposit shall be visible on the Seller’s current account stated above by no later than 19 February 2021 (inclusive), which shall constitute an essential condition for the validity of the Registration and the bidder’s participation in the selection of the most favourable bidder. Bidders are invited to inquire at their bank with regard to the date by which the bank can execute the payment in order for it to appear on the Seller’s current account stated above in a timely manner.

Bidders may participate in the e-auction if they have correctly registered by electronic means by no later than 11:59:59 pm on 19 February 2021 (hereinafter: the Registration deadline) using the Registration form on the website https://dutb.edrazbe.si/ under the tab ‘Open auctions’ no. 10051.

The tender elements of the electronic public auction (E-auction) are as follows:

  • electronic application for the E-auction by 19.02.2021 to 23:59:59 (tender deadline)
  • payment of a security deposit in the amount of EUR 50,000.00 until 19 February 2002 (confirmation of payment of the security deposit is a mandatory attachment to the electronic application)
  • the payment of the security must be visible on the BAMC account until and including 19.02.2021
  • by February 23, 2021, by 4:00 pm, the bidder will receive the necessary identification data for access to the E-auction (token) – if the application is complete
  • 25.02.2021 at 10.00 – start of the E-auction
  • the minimum bid increment EUR 10,000.

The Seller shall reserve the right to extend the deadline for viewings and obtaining additional information, the offer period and the start date of the electronic auction, as long as government measures prevent movement between statistical regions prior to the expiry of the offer period.

A non-disclosure agreement (NDA) shall be signed prior to the viewing of any documentation of a confidential nature.

The Receivables and the Participating Interest may only be sold jointly.

The Company owns building land in Split, in the Kila neighbourhood. The total area of the land is 8,822 m2, and it is designated for residential construction. With this Call, the potential buyer (bidder) is also made aware of the following:

  • that the subject of the agreement shall be sold and purchased on an "as is" basis;
  • that the subject of the agreement is mortgaged to Družba za upravljanje terjatev bank, d.d.  in accordance with mortgages listed in Appendix 1 to this Call (Appendix 1 is part of the documentation which can be consulted in in accordance with the 3rd paragraph of Point 7 of this Call). The seller will arrange for a mortgage clearance confirmation to be issued immediately after the signing of the preliminary contract and lodging of the motion to clear the mortgage from the Property registry. Motions for freezing orders have also been lodged to the burden of the subject of the agreement, as listed in Appendix 1. The Seller is not obliged to ensure the deregistration from the Property register of the freezing orders as they are non-opposable to the Buyer and protect its rights and interests within the meaning of item 3 of Interpretative Decision No. 1/2015 of the General Assembly of the Civil and Commercial Colleges of the Bulgarian Supreme Court of Cassation;
  • that the purpose of use of the subject of the agreement is agricultural;
Bidders must submit their binding bids by certified post, enclosed in a sealed envelope addressed to: Družba za upravljanje terjatev bank, d.d., Davčna ulica 1, 1000 Ljubljana, marked: "DO NOT OPEN – BID FOR THE PURCHASE OF LAND PLOT IN SOFIA, Bulgaria – DUTB ID 105080".

The net indicative asking price of the subject of the sale is set at EUR 9,621,370.00 + associated 20% tax. 

The deadline for submission of binding bids (bidding deadline) shall be 11 February 2020, at 11:59:59.


The Seller shall consider only substantively complete binding bids to purchase the subject of the agreement, signed by the bidder, submitted by completing the form "BINDING BID TO PURCHASE THE COMPLEX OF LAND PLOTS IN SOFIA, BULGARIA – DUTB ID 105080" (also referred to as the "Form" for the purposes of this Call).

The following two documents shall be considered a mandatory and essential component of the bid and a condition for its substantive and formal completeness:

  • Duly completed Form (Appendix 3 hereto),
  • Confirmation of payment, which must state the date of payment.

The bidder must make a 50,000.00 EUR security deposit in earnest (hereinafter referred to as "Security Deposit") within the bidding deadline, specifically no later than the time the bid is submitted (confirmation of payment of the security deposit, indicating the payment date, is a mandatory enclosure to the Bid), remitted via bank transfer to the Seller’s transaction account no. SI56 2900 5 1319 162, Unicredit Banka Slovenija d.d., reference no. "105080-company registration number or birthdate", with the additional payment purpose specification "SECURITY DEPOSIT FOR THE PURCHASE OF THE COMPLEX OF LAND PLOTS IN SOFIA, Bulgaria, DUTB ID 105080"), as an essential element of the bid, as a mandatory requirement for the validity of the bid and the bidder’s eligibility in the bidding and sales process. 
Within thirty (30) days of the Bidding Deadline, the opening of the binding bids shall be performed by a three- (3-) member committee sitting at the seller’s headquarters. The opening of binding bids shall be public. The Seller plans to notify bidders about the time and place of the opening of binding bids within three (3) business days of the expiry of the bidding deadline.
