All three companies are hereinafter referred to as the Papirus Group.

In this Invitation to submit binding offers to purchase the Tecnam P2006T aircraft – DUTB ID 2200 (hereinafter referred to as: “the invitation”) , the Tecnam P92JS aircraft with registration mark S5-DTW constitutes the subject of the contract (hereinafter referred to as: “the subject of the contract”) that is owned by Družba za upravljanje terjatev bank, d.d., company registration number: 6339620000 (hereinafter also referred to as: “the seller”).

The indicative net sales price of the subject of the contract is stipulated in the amount of EUR 194,000.00 + associated tax.

Bidders shall send their binding bids by registered mail in a closed envelope addressed to: Družba za upravljanje terjatev bank, d.d., Davčna ulica 1, 1000 Ljubljana, Slovenia. The following text shall be added under the addressee: “NE ODPIRAJ – PONUDBA ZA NAKUP LETALA TECNAM P2006T”. There must be a stamp or signature of the person authorised to submit the binding bid on the envelope, covering the flap on the reverse side, in order to prove that the sealed envelope has not been opened.

Within the bidding deadline i.e. by the time the bid is submitted (the slip providing evidence that the bid bond has been paid with the date of payment being indicated is an obligatory annex to the bid), the bidder shall be obliged to pay to the seller’s bank account no. SI56 0292 4026 0336 063, opened at NLB d.d., indicating the reference no. “00 2021 2200” and the purpose of payment ”BID BOND FOR THE PURCHASE OF TECNAM P2006T AIRCRAFT”, the bid bond in the amount of EUR 20.000,00 (in this invitation also referred to as: “the bid bond”) which is a prerequisite for the validity of the bid and the participation of the bidder within this bidding and sales procedure.

If the bidder, either in their capacity as a natural person or a legal entity, is selected in this bidding procedure, and they subsequently register a new legal entity in the Republic of Slovenia, which they are the majority owner of, the purchase price may be paid from the bank account of this newly registered legal entity, for which the winning bidder will have to submit the corresponding documentation before entering into the contract of sale.

The subject of the sales process is at least 86,7% of Beti’s equity and a majority of Beti’s financial liabilities which will be sold as a package. The equity stake is in 100% ownership of Mr. Viktor Kozjan and the claims by DUTB d.d.

The security deposit shall be deposited on the Seller’s current account no. SI56 2900 0005 1319 162 managed by UNICREDIT BANKA SLOVENIJA d.d., with a reference of ‘00-registration number or birth date’ and a stated purpose of payment of ‘Security deposit, e-auction for the Izola shipyard – BAMC ID 51’, in the amount of ERU 50,000.00 (referred to in this Invitation as the ‘security deposit’), which shall constitute an essential condition for the validity of the bid and the bidder’s participation in the selection of the most favourable bidder.

Payment of the security deposit shall be visible on the Seller’s current account stated above by no later than 19 February 2021 (inclusive), which shall constitute an essential condition for the validity of the Registration and the bidder’s participation in the selection of the most favourable bidder. Bidders are invited to inquire at their bank with regard to the date by which the bank can execute the payment in order for it to appear on the Seller’s current account stated above in a timely manner.

Bidders may participate in the e-auction if they have correctly registered by electronic means by no later than 11:59:59 pm on 19 February 2021 (hereinafter: the Registration deadline) using the Registration form on the website https://dutb.edrazbe.si/ under the tab ‘Open auctions’ no. 10051.

The tender elements of the electronic public auction (E-auction) are as follows:

  • electronic application for the E-auction by 19.02.2021 to 23:59:59 (tender deadline)
  • payment of a security deposit in the amount of EUR 50,000.00 until 19 February 2002 (confirmation of payment of the security deposit is a mandatory attachment to the electronic application)
  • the payment of the security must be visible on the BAMC account until and including 19.02.2021
  • by February 23, 2021, by 4:00 pm, the bidder will receive the necessary identification data for access to the E-auction (token) – if the application is complete
  • 25.02.2021 at 10.00 – start of the E-auction
  • the minimum bid increment EUR 10,000.

A bidder may view the subject of the Agreement by prior arrangement and obtain additional information in connection with the subject of the Agreement from the Seller’s representative, Andrej Filipič, at telephone no. +386 1 429 34 79, at GSM: +386 40 424 060, or via email (andrej.filipic@dutb.eu), from 9 am to 3 pm on business days, up to and including 23 February 2021.

The Seller shall reserve the right to extend the deadline for viewings and obtaining additional information, the offer period and the start date of the electronic auction, as long as government measures prevent movement between statistical regions prior to the expiry of the offer period.

A non-disclosure agreement (NDA) shall be signed prior to the viewing of any documentation of a confidential nature.
